Terms of Service

These Terms of Service ("Terms") govern your access to and use of June (the "Service"), operated by June Technology ("June," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Service Description

June is an AI-powered meeting assistant that provides real-time guidance, optional transcription and recording, custom personas, workflow automation, and a searchable conversation graph. The Service includes:

  • Desktop and web applications for meeting assistance
  • Account portal for authentication, profile management, and subscriptions
  • API access for integrations (where applicable to your plan)
  • Cloud services for synchronization and collaboration features

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Account Registration and Security

  • Account Creation: You must provide accurate and complete information when creating an account. You are responsible for maintaining the accuracy of this information.
  • Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. We support phishing-resistant passkeys (WebAuthn) for enhanced security.
  • Session Management: You should regularly review active sessions in your account settings and revoke any you do not recognize.
  • Notification: You must notify us immediately at security@junemeetings.com if you suspect unauthorized access to your account.

4. Subscriptions and Billing

4.1 Plans and Pricing

The Service offers various subscription plans as described on our Pricing page. Features and limits vary by plan. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Payment Terms

  • Payment is processed by Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.
  • Subscriptions renew automatically at the end of each billing period (monthly or annual) unless canceled before the renewal date.
  • All fees are exclusive of applicable taxes, which will be added where required by law.
  • Prices are in USD unless otherwise specified.

4.3 Refunds and Cancellation

  • You may cancel your subscription at any time through the account portal. Cancellation takes effect at the end of the current billing period.
  • Refunds are generally not provided for partial billing periods. However, we may offer pro-rata refunds for annual subscriptions within 14 days of purchase if no significant usage has occurred.
  • We reserve the right to offer refunds at our discretion for exceptional circumstances.

4.4 Seat-Based Licensing

Team and Enterprise plans are licensed per seat. Each seat may only be used by one individual. You may reassign seats between individuals, but frequent reassignment to circumvent seat limits is prohibited.

5. User Obligations and Acceptable Use

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Comply with all applicable laws regarding recording and transcription of conversations, including obtaining necessary consent from meeting participants.
  • Not attempt to gain unauthorized access to the Service or its related systems.
  • Not interfere with or disrupt the Service or servers connected to the Service.
  • Not use the Service to transmit malware, spam, or harmful content.
  • Not reverse engineer, decompile, or disassemble any part of the Service.
  • Not resell, redistribute, or sublicense the Service without our written consent.
  • Not use the Service in any manner that could damage our reputation or goodwill.

6. Recording and Transcription

  • Opt-In Features: Recording and transcription are disabled by default. You must explicitly enable these features for each meeting or configure them in your settings.
  • Consent Requirements: You are solely responsible for complying with all applicable laws regarding recording consent. Many jurisdictions require all-party consent. We recommend informing all participants when recording is active.
  • Super-Privacy Mode: For sensitive conversations, Super-Privacy Mode processes data transiently with no persistent storage. You are responsible for enabling this mode when appropriate.
  • Data Ownership: You retain ownership of your meeting content. We process it only to provide the Service features you have enabled.

7. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

8. Intellectual Property

8.1 Our Rights

The Service, including its software, design, features, content, trademarks, and logos, is owned by June Technology, Inc or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding.

8.2 Your Content

You retain ownership of content you create or upload to the Service ("Your Content"). You grant us a limited license to process, store, and transmit Your Content solely to provide the Service features. We do not claim ownership of Your Content or use it for AI training without your explicit consent.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback to improve the Service without obligation to you.

9. Third-Party Services

The Service integrates with third-party services including:

  • Stripe: Payment processing
  • Cloudflare: Infrastructure and security
  • AWS SES: Email delivery
  • Calendar providers: Meeting integration (Google, Microsoft, etc.)

Your use of these integrations may be subject to their respective terms of service. We are not responsible for the operation or policies of third-party services.

10. Service Availability and Modifications

  • Availability: We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
  • Modifications: We may modify, update, or discontinue features of the Service at any time. For material changes that adversely affect your use, we will provide reasonable notice.
  • Beta Features: Some features may be designated as beta or experimental. These features are provided "as is" and may be changed or discontinued without notice.

11. Termination

11.1 Termination by You

You may cancel your subscription and close your account at any time through the account portal. Upon cancellation, you will retain access until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately if:

  • You breach these Terms
  • We reasonably believe your use poses a security risk
  • Required by law
  • Your account has been inactive for an extended period (with prior notice)

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be deleted unless legally required to retain it longer.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, June Technology, Inc AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless June Technology and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including recording consent laws
  • Your Content

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@junemeetings.com to attempt informal resolution. We will attempt to resolve disputes within 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will be conducted in English. You waive any right to participate in class actions or class arbitrations.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
